Terms and conditions
Draft pending legal review.
These General Terms and Conditions (AGB) govern the business relationship between Akesia and its customers.
1. Scope
These terms apply exclusively to businesses and healthcare professionals acting in their professional capacity (B2B). Akesia does not sell to consumers, and these terms do not incorporate consumer-protection provisions applicable to business-to-consumer sales.
Confirm the B2B-only framing holds once checkout and invoicing are finalized.
2. Account and verification
Placing an order requires a registered account and completion of the professional verification process. Akesia may decline or suspend accounts that do not meet its professional eligibility criteria.
3. Ordering process
Ordering is currently quote-based: customers request a quote and Akesia confirms pricing and availability before an order is placed. Dedicated checkout terms will follow once self-service ordering is available.
4. Prices
Prices shown are net prices, exclusive of statutory value added tax, which is added where applicable.
5. Delivery
[DELIVERY TERMS PLACEHOLDER]
Delivery timelines, carriers, and shipping risk transfer need legal and operational sign-off; see also the Shipping page.
6. Reservation of title
[RESERVATION OF TITLE PLACEHOLDER]
Standard German Eigentumsvorbehalt clause to be drafted by counsel.
7. Warranty
[WARRANTY PLACEHOLDER, per statutory B2B rules]
Statutory warranty periods and inspection/notice obligations for commercial buyers (Section 377 HGB) to be confirmed by counsel.
8. Liability
[LIABILITY LIMITATION PLACEHOLDER]
Liability limitations must respect mandatory limits (e.g. for intent, gross negligence, and product liability); draft with counsel.
9. Governing law and jurisdiction
These terms are governed by the laws of Germany. The place of jurisdiction is Germany, to the extent permitted by law.
